Article I. Name
The name of the organization is: The Little Juniata River Association (LJRA)
Article II. Purpose of the Organization
The purpose of the LJRA is to: Monitor, preserve and improve the Little Juniata River and its tributaries as a cold water resource.
To further this objective, the LJRA shall:
1. Periodically assess the biological integrity of the aquatic Macro-invertebrates inhabiting the Little Juniata River and tributaries.
2. Monitor critical water quality parameters including temperature, oxygen content, ph, phosphates and nitrates.
3. Consult and work with individuals, local, state and federal government, colleges and universities, as appropriate, to further the purpose and goals of the LJRA.
4. Form alliances with other organizations such as local watershed groups, sportsmans groups and landowners.
5. Inform the public and government agencies of threats to the Little Juniata River.
6. Inform the public and government agencies of opportunities for improvement to the Little Juniata River.
7. Promote and develop public access for users of the Little Juniata River.
This organization is organized exclusively for charitable, religious, educational and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under the section 501 (c) (3) of the internal Revenue code, or corresponding section of any future federal tax code.
No part of the net earnings of this organization shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof. No substantial part of the activities of the organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. Notwithstanding any other
provision of this document, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any further federal tax code, or (b) by an organization, contributions to which are deductible under section 170 (c) (2) of the Internal Revenue Code, or corresponding section of any future federal tax code.
Article III. Membership
A.The membership consists of individuals who support the purposes of the LJRA by attending meetings, volunteering time and paying annual dues in an amount determined by the membership committee.
B.Each member shall have one vote to cast on any vote taken at a meeting of the membership called in accordance with these bylaws.
Article IV. Meeting of members
A.Administrative meetings will be held on a quarterly basis Working meetings to support the activities and goals of the LJRA will be held on an as needed basis.
Article V. Officers
Officers of the LJRA are a Chairperson, Vice Chairperson, Secretary and Treasurer.
Election of officers will take place at a regular meeting in the first calendar quarter of any year in which an election is necessary to fill
an office. The officers shall hold a term of two years, commencing with the first meeting at which all officers are elected. In the event an
resigns before the term expires, the Chairperson shall call a special meeting the purpose of which is to elect a replacement. The Chairperson may also assign the tasks of missing officers to other officers until a replacement is found.
A.The Chairperson will have general oversight of the activities and of the finances of the LJRA.
B.The Vice-Chairperson will perform the duties of the Chairperson in his absence or in the event of disability or death succeed the Chairperson. The Vice Chairperson also performs other duties as required and accepted.
C.The treasurer shall be responsible for all checking accounts and the security of the funds collected by the LJRA. The treasurer will procure the signature of at least one other officer on all expenditures made for the LJRA from these funds.
D.The Secretary will keep minutes of all meetings of members and of the officers, will be the custodian of the organizations records, will give all notices as required by these by-laws and generally, will perform all duties incident to the office of Secretary.
Article VI. Indemnification
The organization may indemnify any person who is a party to any threatened, pending or completed action, suit or proceeding by reason
of the fact that he is an officer or a member of the organization. In order to warrant such indemnification, the officer or member must have acted in good faith and in a manner he reasonably believed to be in, or not opposed to, the best interests of the organization.
The organization may purchase insurance against liability of any officer or member that might result in indemnification of the organization. However such insurance shall not be mandatory.
The members and officers of the LJRA shall not be personally liable for any debt, liability or obligation of the organization. Officers shall not be personally liable for any monetary damages for any action taken or any failure to take action unless he has breached or failed to perform his duties under Pennsylvania law and such breach or failure to perform constitutes willful misconduct or recklessness. Furthermore the officers are authorized to indemnify and to advance funds for payment of expenses in support of indemnification.

Article VII. Dissolution of the organization
On dissolution of the organization, the officers shall, after paying or making provision for payment of all liabilities of the organization, all property of the organization to an organization operated exclusively for charitable or educational purposes which qualify as exempt under section 501(c) (3) of the Internal Revenue Code.
Article VIII. Amendment to Bylaws
Except as may be otherwise required by law, the Articles of organization or these bylaws, these bylaws may be altered, amended or repealed and new bylaws adopted by a majority of the membership present at any regular meeting, if at least 30 days written notice is given to each member of intention to alter, amend or repeal or to adopt new bylaws at such meetings.
